These Terms of Service (“Terms”) govern your use of the web design and digital marketing services provided by ZOIC (“Company,” “we,” “us,” or “our”). By purchasing our services, you agree to be bound by these Terms.
1. Scope of Services
ZOIC provides professional digital solutions specializing in high-performance web architecture. Our service offerings include:
Web Design & Development: Custom-built sites using the WordPress platform, Astra theme, and Elementor page builder.
Service Expertise: Our capabilities extend to Ecommerce website design, SEO website design, website redesign services, digital marketing, and video animation.
Performance Engineering: Every site is optimized for high-speed performance as a core component of our delivery standard.
2. The “7-Day Rapid Build” Guarantee
Timeline: We commit to a 7-business-day turnaround for the initial build and optimization of your website project.
Prerequisite: The 7-day development period commences only after the client has submitted all required assets, including the company logo, professional imagery, and finalized business copy.
Delays: ZOIC is not liable for delivery delays caused by the client’s failure to provide necessary materials or responses via our onboarding process.
3. Fees, Payments, and Subscriptions
Setup Fee: A one-time initial deployment fee is required to initiate the project, covering framework customization and professional configuration.
Subscription Model: Continued maintenance and management are provided under a recurring subscription plan.
Unlimited Edits: Active subscription plans include requests for content and layout modifications to ensure the site evolves with your business.
4. Intellectual Property & Asset Liberty
100% Ownership: Unlike closed-source site builders, ZOIC guarantees that the client maintains 100% legal ownership of the website assets upon completion of the project.
Asset Liberty: Clients retain the absolute right to migrate their entire WordPress-based site to any third-party hosting provider at any time.
Data Portability: We utilize open standards to ensure your digital asset remains portable and independent of our specific ecosystem.
5. Maintenance and Professional Support
Technical Management: ZOIC handles all core updates, plugin maintenance, and technical security monitoring.
Zero Technical Knowledge Required: Our service is designed so that clients can focus on their business without needing any background in WordPress or coding.
6. Disclaimers & Limitation of Liability
Third-Party Software: As our sites utilize the WordPress ecosystem (including Astra and Elementor), ZOIC is not responsible for interruptions caused by third-party developer changes.
Business Loss: ZOIC shall not be liable for any indirect or consequential loss of profits arising from website downtime or maintenance windows.
7. Termination and Cancellation
Flexible Terms: Clients may cancel their management subscription at any time without additional termination fees.
Data Retention: Upon cancellation, clients are responsible for migrating their data within 10 days before hosted records are removed from our active servers.
8.Website Ownership & Migration Policy
1)Core Ownership (Asset Liberty)
From the moment your initial setup fee is paid and the website is launched, you retain 100% legal ownership of the following assets:
The Database & Content: All text, images, blog posts, and customer data.
The Codebase: All HTML, CSS, and PHP files constituting the website design.
The Domain Name: Provided the domain was registered in your name or transferred to you upon launch.
2）Service vs. Property (The Subscription Model)
Your monthly subscription is a concierge service fee, not a “tech rent.” It covers the ongoing environment required to maintain elite performance:
Performance Hosting: Access to our optimized servers engineered for a 90+ PageSpeed score.
Concierge Support: Unlimited content edits and 24/7 technical monitoring.
Security & Backups: Daily off-site backups and proactive threat patching.
Agency Licenses: Access to our premium agency-tier licenses for tools (e.g., Elementor Pro, Astra Pro) while under our management.
3). Migration Rights & Procedures
You have the right to migrate your website to any third-party hosting provider at any time. To ensure a secure transition, the following terms apply:
Notice Period: A 30-day written notice is required to terminate the management subscription.
Migration Support Fee: We offer a Professional Migration Package ($299). This includes a full backup of your site, database export, and basic assistance in deploying the files to your new server.
Manual Migration: If you choose to migrate the site independently, Zoic Digital will provide a standard backup file (ZIP/SQL) at no extra cost, but will not be responsible for any technical issues arising during the transfer.
4). Impact of Migration (Post-Transfer)
Once the website is successfully moved to an external environment not managed by Zoic Digital, the following changes will occur:
Voiding of Speed Guarantee: We cannot guarantee a 90+ PageSpeed score on third-party servers, as performance is heavily dependent on the hosting environment.
Termination of Concierge Services: Unlimited content edits and 24/7 monitoring will cease immediately.
License Ownership: Our agency-tier API keys and licenses will be deactivated. To continue receiving automated updates for premium plugins/themes, you must purchase individual licenses directly from the respective vendors.
Liability Release: Zoic Digital is released from all liability regarding site security, updates, or technical failures once the asset leaves our managed environment.
